Terms & Conditions
    1. These terms and conditions together with any specific rules set out in Competition Notices (as defined below) are the Competition Rules ("Rules") and apply to competitions included on the www.topseos.com website and even print collateral indicating similar content ("Competition"), unless otherwise expressly stated. By entering a Competition, entrants agree to be bound by these Rules.
    2. The Competitions are organized by e-ventures, LLC, DBA topseos.com, P.O. Box 1073, Plymouth, IN 46563,  USA ("topseos").
    3. Rules specific to the Competitions are displayed in a notice included on the www.topseos.com web page posting for the Competitions (the "Competition Notice") and are incorporated herein.
    4. topseos reserves the right to cancel or amend the Competitions, the Competition Notice or these Rules at any time without prior notice. Any changes will be posted either within the Competition Notice or these Rules. A copy of the Rules may also be obtained by sending a stamped addressed envelope to: Competition Rules, e-ventures, LLC, P.O. Box 1073, Plymouth, IN 46563, USA.
    5. In the event of any dispute regarding the Rules, Competition Notice, conduct, results and all other matters relating to the Competitions, the decision of topseos shall be final and no correspondence or discussion shall be entered into.

      Qualifying Entrants
    6. To qualify to enter the Competition/s you must be a firm that provides search engine optimization and/or pay per click management services.
    7. topseos reserves the right to verify the eligibility of all entrants.
    8. By entering the Competition/s, you hereby warrant that all information submitted by you is true, current and complete and that information is neither misleading nor deceptive.
    9. topseos assumes that by using its site and entering the Competition/s (and you warrant that) you have legal capacity to enter the Competition and agree to the Rules (i.e. that you are of mental capacity and are entitled to be legally bound in contract) and that you consent to your entry of the Competition/s and use of these Rules.
    10. topseos reserves the right to disqualify any entrant.
    11. In the event that any entrant is disqualified from the Competition/s, topseos in its sole discretion may decide whether a replacement will be allowed. In this event, any further entrant will be selected on the same criteria as the original entrant and will be subject to these Rules.

      Competition Entries
    12. Only one entry per Competition is allowed and multiple entries will result in an entrant being disqualified. Where a winner has been selected and topseos discovers or has reasonable grounds to believe the winner has made more than one entry, topseos reserves the right to select an alternative winner.
    13. There is a 5000 USD purchase requirement to enter each Competition. The two competitions topseos is currently servicing are the Annual SEO Competition and the Annual PPC Competition. All taxes, insurances, transfers, and any other expenditures incurred in providing topseos the materials required to review the entry for the competition, unless specifically stated, are the sole responsibility of the entrant.
    14. The deadline for entries is December 31, 2007.  Entries marked after December 31, 2007 will accrue a 10% surcharge.  No entries will be accepted after March 31, 2008.
    15. topseos cannot accept responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft, destruction, alteration of, or unauthorized access to entries, or entries lost or delayed whether or not arising during operation or transmission as a result of server functions, virus, bugs or other causes.
    16. Entrants should note that unless stated otherwise, topseos does not accept responsibility for the return of any Competition entries or documents, including those consisting of client material.

      Selection of Winners
    17. Winners will be announced and notified from all qualifying entries in January 2009. In all matters, the decision of topseos shall be final and no correspondence or discussion shall be entered into.
    18. Competition winner(s) names may be published on the topseos website or you can write to Competition Winners, e-ventures, LLC, P.O. Box 1073, Plymouth, IN 46563, USA. naming the specific competition including a self-addressed stamped envelope for a list of winners.
    19. In consideration of topseos agreeing to consider entrants to the Competition, each entrant hereby assigns to the complete copyright and all other rights in any entry.
    20. Furthermore, any information submitted by you must be personal to and relate specifically to you. You hereby warrant that the information which you submit and/or distribute will not infringe the intellectual property, privacy or any other rights of any third party, and will not contain anything which is libelous, defamatory, obscene, indecent, harassing or threatening. If relevant, topseos reserves the right, but not the obligation, to screen, filter and/or monitor information provided by you and to edit, refuse to distribute or remove the same.

      Liability
    21. In no event shall e-ventures, LLC will be liable for any indirect, incidental, special or consequential damages, including loss of profits, revenue, data, or use, incurred by entrant or any third part, whether in an action, in contract or tort, even if the other party or any other person has been advised of the possibility of such damages.  Furthermore, e-ventures LLC will not be liable for any injury or disappointment suffered by any entrant entering the competition.  This protection of liability is also covered from the  result of being announced as a winner or not being announced as a winner. topseos is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software failure of any email or entry to be received on account of technical problems or traffic congestion on the Internet, telephone lines or at any web site, or any combination thereof, including any injury or damage to entrant’s or any other person related to or resulting from participation in the Competition.
    22. Entrant agrees that no promises of any performance metrics have been made by e-ventures, LLC.


      Data Protection and Publicity
    23. For purposes of the terms and conditions “Confidential Information” includes, without limitation, (i) information, materials, data, protocols, reports, samples, business models or plans or other information not known to the public which are disclosed by Entrant to e-ventures, LLC (ii) Standard Operating Procedures (SOP) reports, pricing information, customer contacts, emails, letters, records, personnel information and inspection information which are disclosed by an Entrant (iii) any information proprietary to either party.

      Confidential Information will not be deemed to include information that (i) is or becomes available in the public domain, other than as a result of an unauthorized disclosure by e-ventures, LLC., or (ii) is not acquired from the Entrant or any other person known by the e-ventures, LLC to be subject to a confidentiality agreement with the Entrant.

      As a condition to the disclosure of any Confidential Information, e-ventures, LLC agrees (i) to keep the Confidential Information confidential, (ii) to utilize the Confidential Information solely for the purpose of conducting the SEO & PPC competition between the parties, and (iii) not to disclose any Confidential Information to any persons other than our officers, directors, employees, agents, affiliates, advisors and judges (collectively “Representatives”) who are directly working on or who are consulted in connection with this matter.

      Disclosure of Confidential Information by e-ventures, LLC will not be deemed to be a breach of this Agreement if such disclosure is made with the consent of the Entrant or pursuant to a subpoena or order issued by a court of competent jurisdiction or by a judicial or administrative or legislative body or committee; provided that, upon receipt by e-ventures, LLC of any subpoena or order covering Confidential Information, e-ventures, LLC. will promptly notify the Entrant of such subpoena or order.

    24. Winners may be requested to take part in promotional activity and topseos reserves the right to use the names and addresses of winners, their photographs and audio and/or visual recordings of them in any publicity.

      Governing Law
    25. The jurisdiction of any disputes will be established in Indiana. This Agreement shall be governed by and construed in accordance with the laws of Indiana.
    26. Any and all disputes and legal actions arising out of the interpretation or application of this Agreement shall be resolved by and brought in the courts of Plymouth, Indiana and the parties hereby consent to the exclusive jurisdiction of such courts with respect to such matters. This Agreement shall be interpreted and enforced in accordance with the laws of Indiana.

      Attorney Fees
    27. In any litigation, arbitration, or other proceeding by which one party either seeks to enforce its rights under this Agreement (whether in contract, tort, or both) or seeks a declaration of any rights or obligations under this Agreement, the prevailing party shall be awarded its reasonable attorney fees, and costs and expenses incurred.
